Curator Terms & Conditions

These Curator Terms & Conditions (the "Curator Terms") form a binding agreement between NewBanger Digital Limited ("NewBanger", "we", "us") and any person who registers, is approved or operates as a curator on the NewBanger platform ("Curator", "you"). By creating a curator account or accepting any campaign task, you confirm that you have read, understood and agreed to these Curator Terms in addition to our general Terms & Conditions, Privacy Policy and Curator Guidelines.
1. Definitions
- "Curator" means an independent playlist curator, blogger, influencer, DJ or content creator approved by NewBanger to fulfil promotion tasks on the Platform.
- "Campaign" means a promotion brief funded by an artist or label that NewBanger makes available to eligible Curators.
- "Task" means a discrete unit of work within a Campaign (e.g. a single playlist placement, social post or blog feature).
- "Wallet" means the in-platform balance that records your earned, pending and available funds.
- "Payout" means the transfer of available Wallet funds to your verified Nigerian bank account.
2. Eligibility & Verification
To act as a Curator on NewBanger you must:
- Be at least 18 years of age and able to enter into a binding contract under Nigerian law.
- Meet the minimum reach and platform thresholds set out in our Curator Guidelines (e.g. playlist follower counts, blog readership, social audience size).
- Pass NewBanger's identity, channel ownership and reach-verification checks before receiving paid Tasks.
- Provide truthful information about your audience, location, genres and channel ownership at all times.
Approval is at NewBanger's sole discretion and may be withdrawn if any verification fact later proves false or stale.
3. Independent Contractor Status
You are an independent contractor, not an employee, partner, agent or joint venturer of NewBanger. Nothing in these Curator Terms creates an employment relationship.
- You decide whether to accept or decline each Task offered to you.
- You are responsible for the equipment, accounts, internet access and software needed to perform Tasks.
- You are solely responsible for paying any income tax, value-added tax or other government levies on the earnings you receive through NewBanger.
- You may not represent yourself as an employee, spokesperson or official representative of NewBanger to artists, labels, platforms or the public.
4. Curator Obligations
When you accept a Task you agree to:
- Listen to or review the submitted material in good faith before accepting or declining.
- Place the music, publish the post or deliver the content within the timeline specified in the Task brief (typically within 24 hours of acceptance for placements, and within 48 hours for review decisions).
- Keep the placement live for the full campaign duration disclosed in the brief (typically 30 days unless stated otherwise).
- Submit accurate proof-of-completion (screenshots, links, analytics) as required by the Task workflow.
- Comply with the standards in our Curator Guidelines, including honest feedback, professional communication and audience-fit decisions.
- Comply with the terms of service of the third-party platforms you operate on (Spotify, Apple Music, Audiomack, Boomplay, Instagram, TikTok, etc.).
5. Earnings & Payouts
- Each Task has a fixed payout rate disclosed before you accept it. By accepting the Task, you agree to that rate.
- Earnings are credited to your Wallet only after the Task is verified as complete by NewBanger or the campaign owner. Pending earnings are not yet payable.
- All earnings and payouts are settled in Nigerian Naira (₦).
- The minimum payout amount is ₦5,000. Payout requests below this threshold cannot be processed.
- Payouts are processed in batches; the standard cadence is weekly. NewBanger does not guarantee same-day or instant settlement.
- Payouts are sent only to a Nigerian bank account that you have personally verified via OTP. The account holder name must match the name on your NewBanger account.
- To change verified bank details you must contact NewBanger support and complete a re-verification step.
- When you request a Payout the corresponding amount is reserved from your Wallet. If the Payout is rejected by NewBanger or fails at the bank, the funds are returned to your Wallet via a refund transaction.
NewBanger may withhold or claw back earnings that are linked to fraudulent activity, fake engagement, breach of these Curator Terms or chargebacks initiated by the campaign-funding party.
6. Declined or Failed Tasks
- You may decline a Task without penalty before accepting it. Repeatedly accepting and then abandoning Tasks may reduce your priority in future matching.
- If you accept a Task and fail to deliver within the agreed timeline, NewBanger may reassign the Task to another Curator and you forfeit the associated earnings.
- If a placement is removed before the campaign duration ends without NewBanger's prior approval, the corresponding earnings may be reversed and refunded to the campaign-funding party.
7. Prohibited Conduct
As a Curator you must not:
- Use bots, click farms, sub-bots, fake followers, artificial streams or any non-human engagement on any channel used to fulfil NewBanger Tasks.
- Misrepresent your audience size, geography, follower authenticity or platform ownership.
- Solicit artists, labels or campaign owners off-platform to bypass NewBanger fees or transact directly for work introduced through NewBanger.
- Operate more than one Curator account, or share your account with another person, without NewBanger's express written consent.
- Demand additional payment, gifts or favours from artists in exchange for placement or favourable reviews.
- Charge for placements that you have already been paid to deliver through NewBanger.
- Remove, hide or alter a placement before the campaign duration ends without NewBanger's prior approval.
- Disclose campaign briefs, unreleased music or any confidential artist information to third parties.
- Impersonate another curator, artist, employee or representative of NewBanger.
8. Enforcement & Suspension
NewBanger applies a tiered enforcement approach. Depending on severity and history, a violation of these Curator Terms or our Curator Guidelines may result in:
- Formal written warning for first or minor violations.
- Temporary suspension of your account, withholding of pending earnings, and removal from active matching.
- Permanent termination of your account and forfeiture of pending (un-paid out) earnings for fraud, fake engagement, identity misrepresentation or repeat violations.
- Recovery action and, where applicable, reporting to law enforcement for fraudulent or criminal conduct.
All enforcement decisions are reviewed by the NewBanger moderation team. You may appeal any enforcement action by writing to support@newbanger.com within 14 days of notification.
9. Intellectual Property
- You retain ownership of your playlists, blog, social channels and any content you create as a Curator.
- Artists retain full ownership of the music and assets they submit. You receive a limited, non-exclusive, time-limited licence to place, post and feature that material strictly for the purpose of fulfilling the relevant Task. You may not download, redistribute, remix or commercially exploit submitted material outside the Task.
- You grant NewBanger a non-exclusive, royalty-free licence to display your curator name, profile picture, channel name, follower counts and platform handles on the Platform and in NewBanger marketing for the purpose of operating and promoting the marketplace.
- All NewBanger branding, software, copy, dashboards and proprietary systems remain the exclusive property of NewBanger Digital Limited.
10. Confidentiality
Campaign briefs, unreleased music, contact details and any other non-public information shared with you through the Platform are confidential. You must not share, leak, post, forward or otherwise disclose such information to any third party, and you must use it solely for the purpose of fulfilling the Task. This obligation continues after your Curator account ends.
11. Tax Responsibility
You are solely responsible for declaring and paying any taxes due on your NewBanger earnings to the relevant tax authority. NewBanger does not act as your employer or tax agent. Where required by law, NewBanger may share your earnings or identity information with the Federal Inland Revenue Service or other competent authorities.
12. Termination
- You may close your Curator account at any time by writing to support@newbanger.com. Pending Tasks must first be completed or formally released back to NewBanger.
- NewBanger may suspend or terminate your Curator account at any time for violation of these Curator Terms, fraud, prolonged inactivity or operational reasons, with or without prior notice.
- On termination, any verified, available Wallet balance above the minimum payout threshold will be paid out within the next standard payout cycle, subject to clawback rights for fraudulent activity.
- Sections that by their nature should survive termination (Confidentiality, Intellectual Property, Tax Responsibility, Limitation of Liability, Governing Law) will continue to apply.
13. Limitation of Liability
To the maximum extent permitted by Nigerian law:
- NewBanger is not liable for indirect, incidental, special, consequential or exemplary damages arising from your use of the Platform or participation as a Curator.
- NewBanger's total aggregate liability to you in any 12-month period shall not exceed the total Payouts paid to you in the 90 days immediately before the event giving rise to the claim.
- NewBanger is not responsible for the actions, omissions, content or moderation decisions of third-party platforms (Spotify, Apple Music, Audiomack, Boomplay, Instagram, TikTok, YouTube, X, etc.).
14. Modifications
NewBanger may update these Curator Terms from time to time. Material changes will be communicated by updating the "Last updated" date above and, where significant, by in-platform notice or email. Continued use of the Platform as a Curator after the effective date constitutes acceptance of the updated Curator Terms.
15. Governing Law & Disputes
These Curator Terms are governed by the laws of the Federal Republic of Nigeria. The parties agree to attempt to resolve any dispute amicably within 30 days. Failing that, the dispute shall be subject to the exclusive jurisdiction of the courts of Lagos, Nigeria.
